Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Saberin Software, LLC, a New York limited liability company (“Saberin,” “we,” “us,” or “our”).

These Terms govern your access to and use of WFreeze, Saberin's website archiving and change-tracking software, including our website, applications, and related services (collectively, the “Service”).

By clicking to accept these Terms, creating an account, purchasing a subscription, or otherwise accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or other organization, that organization is the customer under these Terms, and you represent that you have authority to bind it.

These Terms include our Privacy Policy, which is incorporated by reference.

1. Eligibility and Authority

You may use the Service only if you are at least 18 years old and legally able to enter into a binding contract. If you create or use an account for a company or other organization, you represent that you are authorized to act on its behalf and accept these Terms for it.

2. The Service

WFreeze is a website archiving and change-tracking service that captures the public website(s) you configure on a schedule, detects changes between captures, and retains a timestamped record for compliance and audit purposes.

We may update, improve, modify, or discontinue features of the Service from time to time. Some features, including the number of pages tracked, dynamic page detection, and archive storage, depend on the subscription plan you select. If we make a material change that significantly reduces the core functionality of the Service, we will use reasonable efforts to provide advance notice where practicable.

3. Accounts and Users

You must provide accurate and complete information when creating an account and keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials, for all activity that occurs under your account, and for all users you invite to or allow to access your account.

You must notify us promptly at hello@wfreeze.com if you become aware of any unauthorized access to your account or any other security incident involving the Service.

4. Subscription Plans, Billing, and Taxes

4.1 Paid subscriptions.

WFreeze offers paid subscriptions on a per-website basis (currently Basic and Deluxe plans, with an optional per-user MCP add-on on Deluxe). By purchasing a subscription, you agree to pay the fees for the plan and websites you select. Subscription fees are charged in advance on a recurring monthly basis unless we state otherwise.

4.2 Auto-Renewal.

Your subscription automatically renews at the end of each billing period unless you cancel it before the renewal date. By purchasing a subscription, you authorize us and our designated payment processor to charge your payment method on a recurring basis for applicable subscription fees, taxes, and any other amounts you authorize.

4.3 Changes to websites or plans.

If you add websites, add MCP users, or upgrade your plan during a billing period, we may charge you immediately or prorate the additional fees for the remainder of the current billing period. If you remove websites or downgrade your plan, the change may take effect at the start of your next billing period unless we state otherwise. We do not provide refunds or credits for unused time during a billing period, except as required by law.

4.4 Taxes.

Fees do not include applicable taxes, levies, duties, or similar governmental assessments, except taxes based on our net income. You are responsible for paying all such taxes associated with your purchase or use of the Service.

4.5 Payment processing.

Payments are processed by a third-party payment processor we designate. We do not store your full payment card details. Your payment may also be subject to the terms and privacy policies of the applicable payment processor.

4.6 Failed payments.

If a payment is declined, overdue, or otherwise not successfully processed, we may suspend or terminate your access to the Service until payment is received.

4.7 Price changes.

We may change our pricing from time to time. If we do, the new pricing will apply no earlier than your next renewal term after we provide notice.

5. Your Right to Use the Service

Subject to these Terms and your payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right during your subscription term to access and use the Service, for the websites you have subscribed to, for your internal business purposes. This is a subscription to use the Service, not a sale of software or any transfer of ownership rights. We reserve all rights not expressly granted in these Terms.

6. Acceptable Use and Restrictions

You agree not to, and not to allow others to:

  • use the Service in violation of any applicable law or regulation;
  • configure WFreeze to archive a website you are not authorized to archive;
  • use the Service to infringe, misappropriate, or violate the rights of any person or entity;
  • upload or transmit malware, viruses, or other harmful code;
  • interfere with or disrupt the integrity, security, or performance of the Service;
  • attempt to gain unauthorized access to the Service or related systems or networks;
  • reverse engineer, decompile, disassemble, or otherwise attempt to discover source code, object code, or underlying ideas or algorithms of the Service, except to the extent such restriction is prohibited by law;
  • access the Service to build a competing product or service; or
  • bypass or exceed any usage limits, security measures, or access restrictions of the Service.

7. Customer Data and Archived Content

As between you and Saberin, you retain ownership of the websites, pages, and content you configure WFreeze to archive, and of the resulting archived captures (“Customer Data”).

7.1 Permission Granted to Saberin.

You grant Saberin a limited right to access, capture, host, store, reproduce, process, transmit, and display Customer Data as necessary to:

  • provide, maintain, and support the Service, including scheduled and manual captures;
  • detect and flag changes between captures;
  • secure and monitor the Service;
  • back up and restore data;
  • comply with law and enforce these Terms; and
  • improve the Service using aggregated or de-identified information.

7.2 Your responsibilities.

You are responsible for:

  • confirming you have the right to authorize WFreeze to access and archive each website you configure;
  • the accuracy of the website and page configuration you provide; and
  • compliance with all laws applicable to your business, including recordkeeping, disclosure, and industry-specific compliance obligations.

Saberin does not provide legal, compliance, or regulatory advice in association with this Service. Archived records produced by WFreeze are a tool to support your own compliance program, not a substitute for it.

7.3 Privacy.

We handle personal data as described in our Privacy Policy.

7.4 Data export and deletion.

You are responsible for exporting any archived captures you want to retain before cancellation or termination of your account. After cancellation or termination, we may delete Customer Data after a reasonable retention period, except where we are required by law to retain it.

8. Third-Party Services

The Service may integrate with or rely on third-party products, services, or content — including MCP-compatible AI assistants you choose to connect. Your use of third-party services may be subject to separate terms between you and the third party. We are not responsible for third-party services, including their availability, security, accuracy, or how they handle your data.

9. Ending Your WFreeze Subscription

9.1 Cancellation by you.

You may cancel your subscription at any time by contacting us. Unless we state otherwise, cancellation takes effect at the end of your current billing period, and your subscription will not renew after that.

9.2 Suspension or termination by us.

We may suspend or terminate your access to all or part of the Service immediately if:

  • you fail to pay amounts when due;
  • you materially breach these Terms;
  • your use of the Service creates a security risk or may harm the Service or other users;
  • we reasonably suspect fraud, abuse, or unlawful activity; or
  • we are required to do so by law or a government authority.

9.3 Effect of cancellation or termination.

Upon cancellation or termination:

  • your right to access and use the Service ends;
  • we may disable your account and delete Customer Data after a reasonable retention period; and
  • any fees already paid are non-refundable except as required by law.

10. Intellectual Property and Feedback

The Service, including its software, design, text, graphics, interfaces, trademarks, logos, and other content, is owned by Saberin or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you by license or otherwise. If you choose to provide suggestions, ideas, comments, or other feedback about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use, modify, and incorporate that feedback without restriction or payment to you.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Saberin disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that captured archives will be complete under all circumstances (for example, where a website blocks automated capture). You are responsible for using the Service in a way that meets your own business, legal, and regulatory needs.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Saberin and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages;
  • Saberin and its affiliates, officers, directors, employees, and agents will not be liable for any loss of profits, revenues, business, goodwill, data, or business interruption; and
  • Saberin's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total amount you paid to Saberin for the Service during the 12 months before the event giving rise to the claim.

These limitations apply regardless of the legal theory of the claim and even if a party was advised of the possibility of such damages. Nothing in these Terms limits liability to the extent such liability cannot be limited under applicable law.

13. Indemnification

You will defend, indemnify, and hold harmless Saberin and its affiliates, officers, directors, employees, and agents from and against any third-party claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your or your users' use of the Service in violation of these Terms;
  • your lack of authorization to have WFreeze archive a given website;
  • Customer Data;
  • your violation of applicable law; or
  • your infringement or violation of any third-party right.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to the personal jurisdiction of those courts. To the extent permitted by law, each party waives any right to a trial by jury in connection with any dispute arising out of or relating to these Terms or the Service.

15. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will provide notice by email, through the Service, or by other reasonable means. Unless we say otherwise, updated Terms become effective when posted. If you continue to use the Service after the updated Terms take effect, you agree to the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
